John Stoddard is a partner in the firm's Corporate & Securities Practice Group with more than 27 years of experience advising businesses and their officers, directors and owners on a broad range of legal and business matters, with particular emphasis on transactional work such as mergers and acquisitions, private placements, venture capital financings, public securities offerings, leveraged recapitalizations and joint ventures. While a number of John's clients are based in New Jersey, his practice is national in scope, with clients ranging in size from startup and emerging businesses to larger publicly held companies.
Mergers and Acquisitions. John is the co-chair of the firm's M&A/Private Equity Team and has represented numerous public and private companies and private equity firms in the acquisition or disposition of a broad range of businesses, such as consumer services, publishing, software, manufacturing, insurance, environmental remediation, child care, biotechnology, retailing, investment advice, market research, health care and intermodal freight transportation.
Corporate Finance. John has represented issuers and underwriters in numerous public stock offerings, and has represented issuers and investors in venture capital and private placement transactions. He has represented companies through various stages of development, such as a Princeton-based environmental biotechnology company from its incorporation through its first round of venture capital financing, initial public offering, and subsequent sale to a NYSE-listed company. He has also represented several other companies in their initial public offerings, including such diverse companies as a New Jersey-based provider of child care services, a California company that colorizes black-and-white movies, a New Jersey company that developed an artificial skin product for severely burned patients and a Rhode Island-based pharmacy benefit management company.
General Securities Practice. John has counseled clients on a wide variety of securities law issues, such as short-swing reporting and liability issues, general disclosure issues, compliance and reporting obligations and investor relations.
General Corporate Representation. A substantial part of John's practice involves acting as a legal advisor to a number of middle market companies. John provides practical legal solutions to the day-to-day problems that face such companies.
