John J. Klusaritz is a partner with Foley & Lardner LLP where he primarily represents clients in mergers and acquisitions, finance transactions, joint ventures and related transactions. He is a member of the firm's Transactional & Securities Practice as well as the Energy Industry Team.
A substantial portion of Mr. Klusaritz's clients are in the energy, telecommunications, technology and government contracting industries, and he has significant experience with the legal and business issues unique to these industries. For many of his clients, Mr. Klusaritz functions as their general corporate counsel, advising them on all corporate matters, including equity and debt financings, mergers and acquisitions, and complex commercial transactions. Mr. Klusaritz also has strong relationships with investment banks, private equity funds, and other financial institutions that are involved in financing and merger transactions in these industries.
In the energy industry, Mr. Klusaritz has represented private equity funds, financial institutions, project developers, electric utilities, gas pipeline companies, energy and regional transmission organizations in a wide range of financings, mergers and acquisitions, and development transactions, including transactions relating to conventional power generation, renewable energy (including solar, wind and biomass), transmission, coal gasification, district energy, local gas distribution and gas pipelines.
Mr. Klusaritz has represented companies operating in virtually every sector of the communications and technology industries, including telecom service providers (long distance, local and voice over Internet), equipment manufacturers, technology developers and inventors, private equity funds, and financial institutions. He has represented clients whose primary business is contracting with the government related to national defense, military logistics, homeland security, IT and health.
Mr. Klusaritz's experience in representing clients in finance transactions includes public and private equity and debt transactions, hybrid transactions, vendor financings, and credit facilities. He has represented clients in a variety of public and private mergers and acquisitions ranging in size from $20 million to $6 billion. He has also advised clients in strategic joint ventures and similar transactions.
From 1985 to 1995, while continuing in private practice, Mr. Klusaritz was an adjunct professor at Georgetown University Law Center, where he taught courses in business planning and corporate transactions.
In 2011, the Legal 500 recognized Mr. Klusaritz for his work in the area of mergers & acquisitions.
Mr. Klusaritz earned his law degree from Harvard Law School (J.D., cum laude, 1981) and his bachelor's degree from Lehigh University (B.S., summa cum laude, 1978).
He is admitted to practice in the District of Columbia.
