John Talvacchia is a senior corporate lawyer who has organized and directed legal services, both domestically and internationally, for diverse business and governmental entities. John is a skilled manager and serves as outside general counsel to many businesses. Prior to private practice, John served as counsel to the Massachusetts Department of Public Utilities and served as the general counsel of a diversified publicly traded company.
Representative Matters
· Represents a variety of individuals and businesses in the organization, acquisition, sale, and financing of various commercial enterprises, including equity and debt offerings;
· Advises clients on merger and acquisition transactions and finance issues specific to growth companies;
· Counsel clients on issues including regulatory compliance, employment matters (including compensation, stock options and phantom stock plans), contracts and real estate matters;
· Represents domestic entities expanding operations to other countries addressing organizational, tariff, tax and human resource management issues;
· Assists clients with contract matters in Europe, the Americas, and throughout the Pacific Rim;
· Represents and advises many non-profit corporations;
· Represents manufacturers, retailers and service providers in the following industries: technology (including medical devices, software development, internet applications and hardware manufacturing and sales), commercial printing, land use, banking and broadcasting.
