John is an associate in the Corporate Practice Group at Troutman Sanders LLP. John's practice focuses on the representation of business owners and privately held, closely held, and publicly traded companies in general corporate matters, including choice of business entity, mergers and acquisitions, joint ventures, partnerships and securities filings. He has experience drafting and negotiating stock and asset purchase agreements, merger agreements, and organizational and operating documents. He also assists public companies with their Securities Exchange Act compliance and in drafting registration statements, proxy statements and periodic reports under federal securities laws.
John also has experience drafting and negotiating legal documents surrounding sporting events, including title sponsorship agreements, broadcast rights agreements and team/participant agreements, as well as assisting non-profit organizations establish tax-exempt status.
John's representative experience includes multinational pulp and paper manufacturer in connection with a restructuring involving the launch of an exchange offer and concurrent offering of up to approximately $1.2 billion in secured notes, and a plan of arrangement and recapitalization filed in a Canadian court involving a proposed offering of up to approximately $1.6 billion in secured notes. John has also assisted a private equity firm with the acquisition and disposition of several portfolio companies.
