Biography

John is the founding chairman of Luce Forward's International Services Group. His focus is in international business transactions, with emphasis on joint ventures, direct investments, mergers and acquisitions, technology transfers and related international commercial issues throughout the world. He is also the Founding Chair of the Pacific Rim Advisory Council, a by invitation only network of major independent law firms with offices in over 90 commercial centers worldwide. His specialties include:

· International corporate transactions, including joint ventures, technology licenses, joint research and production relationships, and distribution channel arrangements.

· International M&A due diligence.

· International corporate compliance programs.

· FCPA and anti-corruption issues.

· Inbound commercial matters for non-U.S. companies.

· Outbound commercial matters for North American companies, including establishing overseas facilities.

· Management and coordination of multiple overseas transactions and law firms.

Catalina Restaurant Group - Represented major U.S. restaurant chain in the sale of its Japanese division.

Cubic Corporation (NYSE) - Updated the international corporate compliance program of military and government contracting company.

Orange County Produce - Advised major California agricultural client in multi-country joint venture for distribution of food products.

Trade Link Services - Represented startup U.S. equipment broker in sale of heavy airport machinery to government of India.

DaimlerChrysler de Mexico - Represented German automotive company in $1.2 billion distribution agreement for Korean automobiles in Mexico.

Jack In The Box Inc. (NYSE) - Led negotiation team for U.S. fast food chain in settlements of litigation and master franchisee disputes in China, Egypt, Indonesia, Mexico, the Philippines, Singapore and Thailand.

Casio Manufacturing Corporation - Represented Japanese electronics company in establishment of large off-shore manufacturing facility in Mexico.

The Price Club - Represented U.S. retailer in negotiating joint venture for its first Latin American discount warehouse operation.

Material Sciences Corporation (NYSE) - Led negotiation team for U.S. manufacturer in sale of high-technology joint venture assets to Belgian purchaser.

Government of Argentina - Advised government agency in acquisition of reconditioned U.S. fighter aircraft.

Reed Building Products - Represented Australian conglomerate in "three-step" acquisition of U.S. industrial firm.
