Jon Karas concentrates his practice in the area of corporate law, with emphasis on corporate finance, securities law and mergers and acquisitions. He represents public and private companies, private equity firms, hedge funds, bondholders and financial institutions with respect to debt financings and private equity investments.

Jon received his J.D., cum laude, from Case Western Reserve University School of Law, and his B.A. from Denison University. He is admitted to practice in the State of New York.


Representative transactions on which Jon has worked include:

• Major consumer products manufacturer in its issuance of $600 million of senior notes and entry into a $1.6 billion senior secured credit facility

• Informal group of holders in connection with Homer City Generation's issuance of $640 million of secured bonds

• Major holder in a private text book publisher's exchange of unsecured notes for $710 million of second lien notes

• Vertis Holdings in its $150 million Debtor-In-Possession Revolving Credit Facility and $363 million sale to Quad/Graphics

• Lyondell Chemical Company in its issuance of $2.6 billion of Senior Secured Notes and $3.25 billion of Senior 3rd Lien Notes

• A major building products company in its issuance of $450 million senior notes

• A privately held grocery store chain in its $125 million private shelf agreement and $125 million secured revolving credit agreement

• AngioDynamics in the acquisition financing for its acquisition of Navilyst Medical ($200 million senior secured term loan and $50 million revolver)

• DPL Inc. in its $425 million term loan facility, $125 million revolving credit agreement and $200 million revolving credit agreement

• Metals USA in its $500 million asset backed revolving credit agreement

• Ceva Global Logistics in its $250 million asset backed revolving loan agreement

• Pfizer in the acquisition financing for its acquisition of Wyeth ($22.5 billion bridge loan; $5 billion revolving credit agreement)

• Pfizer in its $13.5 billion registered debt offering to finance the acquisition of Wyeth

• A portfolio company of a major private equity sponsor in a series of receivables financings at unrestricted subsidiaries

• A biomass conversion start-up in connection with an approximately $500 million project finance transaction

• The United States Department of Treasury in the General Motors and Chrysler restructurings

• The United Stated Department of the Treasury in the sale of its Chrysler equity stake to Fiat

• Icahn Capital in its bid for Blockbuster, Inc.

• Metals USA in its acquisition of The Richardson Trident Company

• Merrill Lynch Mortgage Capital in the sale of Fred Leighton Holding Inc.'s business operations to Windsor Jewelers

• Caribbean Petroleum Corporation in the sale of its petroleum processing, storage, and distribution business to Puma Energy, an affiliate of Trafigura

• Bear Stearns Companies Inc. in its acquisition by JPMorgan Chase
