Jonathan S. Gaynin practices in the area of corporate law, representing domestic and international clients in a wide range of industries, including manufacturing, financing, product distribution, technology, computer software, alternative healthcare and television production. A significant part of Mr. Gaynin's practice relates to multinational clients with business interests in and from Taiwan, China, Russia, Eastern Europe, Kazakhstan and Canada, in such diverse areas as automotive manufacturing, banking, television production, waste management, healthcare, seafood processing, investment funds and real estate development. In China, Mr. Gaynin is assisting U.S. and other foreign companies in making investments, establishing joint ventures and setting up operations. He is assisting one of the largest Chinese manufacturers in developing a U.S. operation. He is also assisting Chinese companies seeking foreign investment, the establishment of joint ventures, real estate funding and development and doing business in the U.S.

Representative Matters
· Representing China National Building Materials Investment (CNBMI), a state-owned enterprise (SOE), in its efforts to collect moneys owed by BNK International, a Texas company; so far, CNBMI has collected $1.5 million.
· Assisting a U.S. real estate investment fund in connection with its investments in commercial real estate projects in China.
· Represented Cinégroupe Corp., a Quebec animation and live-action production company, in the sale of the broadcasting rights to the children's television show "Sagwa" to CCTV and the sale of merchandise rights for "Sagwa" to Tianjin Besthinker Cultural & Media. Introduced both opportunities to Cinégroupe. "Sagwa" is about a Siamese cat living in 19th century Imperial China. It was co-developed with Sesame Workshop and was broadcast on PBS and worldwide.
· Assisted Shanghai Huizong Automotive Manufacturing Co. (SHAC), part of Shanghai Automotive Industrial Corp. (SAIC), in establishing a business in Russia for the sale of its commercial vehicles.
· Assisted GSE Systems, Inc. in entering a joint venture with Beijing Unis Investment for the purpose of training employees of Chinese power plants in operating and safety techniques.
· Represented Ningbo Youglin Light Industry in recovering $2.5 million from a California company. Ningbo Youglin is a manufacturer of plastic sports products such as bodyboards, skimboards, surfboards and snowboards.
· Assisted Theseus Technology of Shenzhen in settling its claims against a New York company.
· Representing Shanghai Huizhong Automotive Manufacturing Co. (SHAC), part of the SAIC Group, with respect to their North American activities. SHAC is one of the largest manufacturers of auto parts in China. Advising SHAC on providing OEM parts for cars to be manufactured in the U.S. as well as arranging for a SHAC logistics and office center in the U.S. Acted as consultant for SHAC regarding matters involving Latin America.
· Represented GP Strategies in connection with its formation of a wholly foreign-owned entity(WFOE) in Shanghai.
· Arranged for General Physics Corp. to make a presentation to the Labor Bureau of the City of Shanghai. The Labor Bureau was developing a training facility for individuals to become automotive service and repair mechanics.
· Assisting Cinégroupe Corp. in developing an animation production center in Tianjin with Besthinker Cultural & Media.
· Represented T-1 Lighting in searching for an appropriate partner to market and distribute its products in China; introduced T-1 to the Shanghai Jiao Tong University Electronics (Group) and to Elite Industrial Holdings (Hong Kong).
· Represented a Chilean fishery in connection with establishing a joint venture and cooperative arrangement with a seafood-processing enterprise in Shandong Province.
· Represented a U.S. packaging company involved in creating a joint venture with packaging manufacturers in Weihai, Shandong Province
· Represented worldwide automotive rental franchisors in their efforts to establish a franchise network in China
· Member of a team which conducted a study for the Tianjin Economic-Technical Development Area (TEDA) regarding the feasibility of opening a convention and exposition center; the convention and exposition center is complete and is now an important business development attraction for TEDA.

· Mr. Gaynin is a member of the National Association of Manufacturers' China Policy Subcommittee and the Subcommittee's China Working Group that prepared a white paper on "Trade with China" for the Administration and Congress.
