Practice Group Overview

Jones Day's Oil & Gas team provides creative, comprehensive, and effective legal solutions to participants in the oil & gas industry worldwide. We advise a wide spectrum of clients -- oil & gas producers, pipeline and distribution companies, energy marketers, project developers, lenders, multilateral agencies, and governments and state agencies -- on upstream, midstream, and downstream oil & gas (including LNG and shipping), petrochemical, and power projects worldwide.

Jones Day offers a distinctive combination of genuine energy-sector experience and legal knowledge. Many of our lawyers have worked in-house at leading oil & gas companies, such as BP, Conoco, Exxon, Mobil, and Occidental, enabling us to appreciate our clients' technical and commercial objectives. We work closely with lawyers from a variety of legal disciplines as part of globally integrated teams to offer services along the entire energy supply chain:

  • Project structuring, development, and operation
  • Financing
  • M&A
  • Environmental
  • Dispute resolution
  • Regulation

By identifying and addressing risks and opportunities upfront, Jones Day has enabled clients to achieve a number of industry firsts and other innovative transactions. Our recent work includes the following:

Asia

  • The $900 million Guangdong LNG Terminal and Trunkline Project, China's first LNG import project, named Project Finance International "Asia-Pacific Oil & Gas Deal of the Year" and Asian Legal Business and FinanceAsia deals of the year in 2004. We represented the project company and its sponsors, led by CNOOC and BP Global Investments, from the earliest stages of the project, beginning with the selection of BP as foreign partner in 2001 through the successful project financing.
  • Advising the Transasia Pipeline Company (a joint venture comprising ConocoPhillips, PETRONAS, Singapore Petroleum, and Talisman) on the first gas transmission project in Indonesia to involve private-sector investors.

Europe

  • The formation of the $18 billion TNK-BP joint venture, the largest Russian cross-border M&A transaction to date. We currently advise TNK-BP on the development of the Kovykta pipeline project to transport natural gas from East Siberia to China and South Korea.
  • Representing TOTAL in its option to acquire 30.3% of a joint venture with Gaz de France for the construction and operation of an LNG terminal at Fos Cavaou in the South of France.

Americas

  • Advising two major oil & gas companies in connection with their respective LNG activities in the U.S., including the development of new LNG import terminals.
  • Representing a national oil company in connection with Latin American LNG developments.
  • Advising BP on the development of an Alaskan natural gas pipeline.

Financier Worldwide recognized our prominence in the oil & gas industry, ranking Jones Day No. 1 among law firms in its 2003 "Oil, Gas & Energy Review." Other industry and legal publications, such as The American Lawyer, Chambers and Partners, and Infrastructure Journal, have ranked Jones Day as one of the leading law firms in energy and project finance. Together with our Energy Delivery & Power team, we advise some of the world's largest energy companies, including one-third of those listed in the Fortune 500.
