Biography

Joshua Strober concentrates his practice on capital raising activities, corporate acquisitions, securities law and corporate law, including:

· public and private securities offerings;

· public and private companies in mergers and acquisitions;

· the preparation of filings required by the Securities and Exchange Commission;

· securities regulation compliance and corporate governance matters;

· private equity and venture capital financings; and

· a variety of general business matters, including business formation and planning, commercial agreements (manufacturing, distribution, supplier and vendor), employment agreements, consulting agreements, executive compensation and equity compensation arrangements.

· Represented public company in the social services industry in a proxy contest and solicitation of consent revocation.

· Served as "day-to-day" securities counsel to a number of public companies in various industries, including banking, auto parts and life sciences.

· Represented private equity firm in the formation of and transfer of assets to a new private equity fund.

· Represented manufacturer of reusable and environmentally-friendly bags and related products in a series of venture financing transactions.

· Represented founders in a number of buyout transactions or related liquidity events.

· Served as "outside general counsel" to a number of emerging and middle market companies in various industries including consumer products, supply chain management, life sciences and energy.
