Outsourcing of logistics solution for consumer products manufacturer and distributor, Represented a global beauty company in connection with a multi-phased outsourcing of its North American supply chain and logistics solution including receiving, processing, packaging, storage, management, shipping and returns processing.
Outsourcing helpdesk solution for global sporting goods, apparel and accessories manufacturer, Represented global sporting goods, apparel and accessories manufacturer and distributor in connection with outsourcing of its North American helpdesk to HCL.
Outsourcing of data center operations for energy company, Represented publicly traded energy company in connection with the renegotiation of an agreement for the outsourcing of data center operations and related infrastructure support services to Acxiom. The transaction was structured as a sole source negotiation and was valued at over $30 million.
Outsourcing of IT service desk for international hospitality company, Represented publicly traded international hospitality company in connection with the outsourcing of its global information technology help desk and related services to IBM. The transaction was valued at over $40 million and was structured as a sole source negotiation.
Sale of publicly held Industrial Distribution Group Inc. to a private equity firm, Represented Industrial Distribution Group Inc., a publicly held distributor of industrial supplies, in its acquisition by Eiger Holdco, LLC, an affiliate of Luther King Capital Management, an investment management and private equity company, following a strategic alternatives review process and public auction.
Rule 144A initial offering, and subsequent registered exchange offering, of senior notes for Interface, Inc., Represented Interface, Inc., a public manufacturing company, in its Rule 144A initial offering, and subsequent registered exchange offering of $175 million of 10.375% senior notes due in 2010.
Multifaceted transaction for Interface Inc., Represented Interface Inc., a worldwide leader in the design, production and sales of modular carpet, in its approximately $300 million public debt refinancing transaction. The multifaceted transaction included a tender offer for two series of outstanding public notes, in tandem with a Rule 144A offering of new notes on more favorable terms, and a subsequent registered exchange offer for the new notes to permit their free tradability.
Strategic alliance between telecommunication company and mobile device manufacturer, Represented global telecommunications company in strategic marketing alliance with a leading mobile device manufacturer for the development and launch of a mobile application store.
