Overview

Karin Rivard focuses her practice on innovation, technology development and intellectual property monetization, including licensing, manufacturing, product distribution, strategic alliances and consortia. She has over 15 years of legal experience across multiple disciplines with current representative clients that include software companies, medical device companies, drug development companies, biotechnology companies, technology start-ups and online service providers. In addition, Karin represents academic medical centers, healthcare systems, universities, foundations and research institutes and provides advice with regard to technology and intellectual property matters, as well as with general healthcare law compliance (Anti-Kickback Statute, HIPAA, HITECH). Applying her ten years of in-house experience as Counsel and Assistant Director of the MIT Technology Licensing Office, Karin brings unique perspective to industry/academia transactions, typically including spin-outs, collaborations, research and development, consortia and technology transfer. Karin is a frequent speaker on matters relating to technology transfer, open source licensing and open innovation environments.

· Representation of US semiconductor software company in acquiring virtual platform development solution from UK conglomerate

· Negotiation and drafting of Drug Substance Supply Agreement (active pharmaceutical supply agreement) for US emerging drug development company

· Representation of premier US genomic medicine research institute in entering into a $65 million collaboration with a Mexican research foundation

· Advise a private equity partnership on $28 million investment in company providing end-to-end online curriculum delivery and assessment technology

· Represent university medical device start-up in negotiating and drafting catheter prototype development, manufacturing and licensing agreement

· Advise US pharmaceutical company regarding exporting medicines to Iran, Syria and Libya

· Advise nationally recognized healthcare system regarding implementation of web based clinical decision support system

· Represent $50 million multi-site community service organization in its implementation of a new $3 million site-wide information management system

· Form university spin-out company and represent company in licensing founder's thermo-reflectance imaging technology from the university

· Represent philanthropic venture capitalist in investing in early stage ventures in the field of cardiovascular and neurovascular disease

· Represented premiere academic medical center in entering a $40 million subcontract with a Netherlands company to perform NIH-funded development of a HIV vaccine

· Represent premier science and engineering research universities on numerous intellectual property and technology license agreements, including patent, copyright, know-how, trade secret and trademark licenses
