Kate is an associate in the Business Law Department at Edwards Wildman. Her practice focuses on the representation of private equity, venture capital and mezzanine funds, and she specializes in representing small business investment companies (SBICs). Kate has extensive experience in leading fund managers through the SBIC licensure process at the Small Business Administration (SBA) and works in one of the most active SBIC practices in the country.

Kate routinely counsels clients through the fund formation and private offering process and advises them on regulatory compliance. She also represents funds making private equity investments with a focus on the lower middle market.
•Worked with dozens of investments funds to obtain an SBIC license

•Represented public company to structure and document mergers and acquisitions and effect a corporate reorganization

•Represented SBICs in secondary portfolio sales and in buyouts of the SBA's preferred partnership interest

•Assisted investment funds in structuring, negotiating and documenting equity and debt investments

•Represented Time Warner Cable in its $600 million acquisition of DukeNet Communications, a fiber network services provider operating in the southeastern United States

•Represented a state pension system in making multiple investments in private equity and venture capital funds

•Represented Time Warner Cable in the purchase of all of the assets used in the operation of Rockport, Texas, cable system from Cobridge Broadband
