Katie is a member of the firm's Tax, Benefits & Compensation Department. She focuses her practice on federal and state income taxation of corporate, flow-through, and tax-exempt entities, as well as individuals. Katie divides her practice between providing tax support for business clients and representing developers, syndicators and investors in federal and state tax credit transactions, including historic, new markets, low-income housing and film tax credits.

Katie has extensive experience representing non-profit organizations in obtaining and maintaining their tax-exempt status and is well-versed in the law of tax-exempt organizations, including the rules governing private foundations, various federal and state reporting requirements, and the tax on unrelated business income.


Dudley Square Center

As longstanding bond counsel to the City of Boston, MA Edwards Wildman served in that capacity and as NMTC counsel for the 2012 financing of a 175,000 square foot state-of-the-art facility in the former Ferdinand's building to be leased to the City of Boston, which plans to relocate the Boston School District administrative offices to the project upon completion.

Edwards Wildman Spearheads the Closing of One of the First Tax Credit Financings Closed Under the New IRS “Safe Harbor” for Rehabilitation Tax Credit Transactions

As special tax credit counsel, a team of Edwards Wildman lawyers spearheaded the closing of the tax credit financing for the rehabilitation of the former Worcester Telegram & Gazette complex utilizing a combination of new markets and rehabilitation tax credits.

Edwards Wildman Represents Boston Dynamics in Its Acquisition by Google

Edwards Wildman represented Boston Dynamics, an MIT robotics spinoff which the firm has advised for two decades, in its acquisition by Google, Inc. Boston Dynamics is renowned for designing legged machines that balance and walk on legs.

Edwards Wildman Closes Financing for Boston's Parcel 24 Project

Edwards Wildman represented a joint venture of the Asian Community Development Corporation and New Boston Fund in the development permitting, tax credit syndication, real estate matters, and construction loan financing for the Parcel 24 project, a 312 unit residential, mixed-income development to be constructed in Boston's Chinatown.

Edwards Wildman Team Leads Merger of Vision Insurance Companies

In July 2013, an Edwards Wildman deal team led by Andrew Hughes and Paul Mahoney of our Providence office represented clients Nautic Partners, a private equity firm with than $2.5 billion of capital under management, and Superior Vision, a Nautic Partners portfolio company based in California, in Superior Vision's execution of a merger agreement providing for the acquisition of Block Vision, a Maryland-based national provider of vision insurance coverage.

Disposal of Avangate Group to Francisco Partners

Our cross-border team comprising lawyers from the Chicago, London, Boston, LA, New York and Providence offices, successfully represented the sellers (comprising Romanian serial tech entrepreneur Radu Georgescu, 3TS Capital Partners' CEE technology fund and the management team) in connection with the disposal of the Avangate Group to Francisco Partners.

Enanta Closes IPO

In 2013, our Business Law lawyers represented Enanta Pharmaceuticals, in its initial public offering (IPO), which raised $64 million for Enanta's development of new compounds for combination treatment regimens for Hepatitis C.

Applied Physical Sciences Stock Purchase

In December 2012 a team of Edwards Wildman Business Law lawyers represented Applied Physical Sciences Corp. in a stock purchase by General Dynamics.

US Securities Counsel to Canadian Aluminum Company

Edwards Wildman acted as US securities counsel to Orbite Aluminae Inc. in a private placement of 8% Convertible Secured Debentures due 2017.

Lamar Advertising Placement of Subordinated Notes

In 2012, our Securities lawyers represented Baton Rouge, Louisiana- based Lamar Advertising Company as issuer in the Rule 144A and Reg S Placement of 5% Senior Subordinated Notes due 2023.
