Ken Stipanov has over 30 years experience advising real property investors through various market cycles. Mr. Stipanov is known for finding creative solutions to unusual situations. He is particularly well-versed representing borrowers of all types of real estate secured loans, including those from life companies, CMBS sponsors, banks and other financial institutions. He has represented landlords and tenants in the leasing of retail, industrial and commercial properties. He has considerable expertise acquiring and disposing of all manner of real property, including shopping centers, industrial buildings, undeveloped land, single-tenant buildings, apartment buildings and broken condominiums, whether in bulk or in single-asset transactions. He is also knowledgeable about the various business entities used by real estate owners, particularly limited liability companies and partnerships. Over the course of his career, he has represented a variety of clients, including closely held portfolios, institutional investment companies, end users, non-profit organizations, pension plans and family groups. Recent Work / Representative Matters Works with a number of closely-held portfolios that include a mix of commercial, industrial, office, laboratory, shopping center, apartment and hotel properties in their leasing, financing and acquisitions. Represented landlords and tenants in innumerable tenant, multi-tenant, single-tenant and ground leases, including biotech, laboratory, high tech, warehouse, manufacturing, office, retail shopping center, fast food, data center and financial institution uses. Premises up to 150,000 sq. ft. Regularly serves as borrower's counsel on secured financings, primarily from life insurance companies and conduit lenders. Loan transaction sizes ranging to $150 million. Represents non-profits and charter schools as borrower's counsel in New Markets Tax Credit transactions. Represented a nationally-known charter school obtain multiple two issuances of qualified school construction bonds, including the first AAA-rated charter school bond issuance in the country. Represents a private school in facilitating financing and operational issues, including private placement tax exempt bonds, land acquisitions and student/teacher liability issues. Represented an investment company owned primarily by a state employees pension system acquire a portfolio of 30 grocery-anchored shopping centers throughout the Western United States, and then dispose of a portion of that portfolio. Aggregate deal value approximately $1 billion; transaction sizes between $5 million and $67 million. Handled numerous unclosed transactions of similar values. Represented a significant family portfolio reposition apartment assets from Arizona to Texas and Nevada (approximate $150 million transaction value). Represented a management team in its acquisition of the salt production works in southern San Diego Bay from the previous owner.
