Kepten D. Carmichael, a partner in Barnes & Thornburg LLP's Indianapolis, Indiana office, practices in the Corporate Department.
Mr. Carmichael concentrates his practice on complex corporate transactions, including mergers, acquisitions, divestitures, joint ventures, recapitalizations, and related general corporate matters. He also regularly counsels businesses in structuring and negotiating venture capital and other private equity financing arrangements, corporate governance matters, and licensing and other technology arrangements. In addition to advising clients in the life sciences industries on a variety of transaction-related matters, Mr. Carmichael also advises clients on a variety of FDA-related matters, including securing regulatory approvals and maintaining compliance with regulatory requirements.
As a member of Barnes & Thornburg's Global Services Practice Group, Mr. Carmichael works with domestic companies involved in international acquisitions and dispositions as well as international clients transacting business in the United States.
In addition to practicing with Barnes & Thornburg, Mr. Carmichael has also worked as in-house counsel and Director of Regulatory Compliance for the North American headquarters of an international company in the medical diagnostics industry.
Mr. Carmichael is admitted to practice in the state of Indiana. He received his J.D. magna cum laude from Indiana University School of Law-Bloomington in 1996 and was elected to the Indiana Chapter of the Order of Coif. While in law school, he was a member of the Indiana Law Journal and served as the Executive Notes & Comments editor for Volume 71. In 1993, Mr. Carmichael received his Bachelor of Arts degree cum laude from DePauw University where he majored in economics. He was a member of the Alpha Lambda Delta/Phi Eta Sigma Honorary Society and DePauw's Management Fellows program.
