Kevin Baum concentrates his practice in commercial finance, equipment finance and loan workouts and restructurings. He primarily represents banks, commercial finance companies, second-lien lenders, mezzanine lenders and other institutional lenders, in addition to private equity firms, their portfolio companies and other privately held companies. Mr. Baum counsels clients with respect to: · commercial lending · asset-based financing · secured transactions · mortgage warehouse financing · healthcare financing · acquisition financing · equipment leasing · workouts and creditors' rights Representative Matters · Counsel to a national bank in the structuring, negotiating and documenting revolving credit facilities to finance working capital needs of consumer finance lenders. · Healthcare analytics company in connection with its syndicated revolving credit and term loan credit facility. · National bank in connection with asset-based credit facility to a processor and distributor of dairy products in New York City. · Commercial finance subsidiary of an investment bank as the administrative agent and lead lender, in connection with a syndicated revolving credit and mortgage term loan facility to finance the acquisition of various skilled nursing facilities and assisted living facilities. · Commercial finance company as the agent and a lender in connection with a venture loan to a biopharmaceutical company. · Commercial finance company as the agent and a lender in connection with a revolving credit and term loan facility to a manufacturer and distributor of dental implant products. · Mezzanine lender in connection with a junior-term loan to a technology services company for the consumer packaged goods industry. · Equipment lessor in connection with a multi-year equipment leasing facility to a New York-based health system. Community Service & Affiliations Mr. Baum is a member of the board of directors and the executive committee of theGreene Towne School in Philadelphia. He acts as a mediator for the Philadelphia Court of Common Pleas Landlord-Tenant Appellate Mediation Program. He also has provided pro bono legal services to Paul's Kids and the Sudanese Refugee Project. He was named to the First Judicial District of Pennsylvania Pro Bono Roll of Honor in 2010 and 2011. He is a member of the National MS Society's MS Leadership Class of 2011.
