Kevin Walsh is an associate in the Corporate and Securities Practice Group. Kevin represents clients on a variety of corporate matters, including mergers and acquisitions, divestures, corporate finance transactions, public company reporting obligations, reorganizations, insurance matters, and general business counseling.
Mergers and Acquisitions; Divestures. Kevin represents public and private companies in a broad range of industries. Representative matters include:
· Represented an NYSE listed public company in its $500 million acquisition of a private label fruit juice business.
· Represented a private equity fund in its $112 million acquisition of a machined component manufacturer.
· Represented a private company in its $18 million divesture of its private wealth management group.
Corporate Finance Transactions. Kevin represents both lenders and borrowers on many types of commercial loan transactions. Representative matters include:
· Represented the agent in a $340 million syndicated, multicurrency credit facility to a gear and cutting tool manufacturer.
· Represented a public company in its $275 million syndicated, multicurrency credit facility for acquisition financing.
· Represented the agent in a $65 million syndicated credit facility to a publishing company secured by collateral in the U.S., Europe, South America and Africa.
· Represented the agent in a $38 million syndicated credit facility to a newspaper and media company.
Public Company Reporting Obligations. Kevin represents publicly traded companies with respect to federal securities law compliance.
Reorganizations. Kevin represents public and private companies in complex reorganizations, such as the reorganization of a public company in connection with a spin-off transaction and the reorganization of a banking institution under the Pennsylvania Banking Code.
Insurance Matters. Kevin represents insurance companies on transactional and regulatory matters, including acquisitions, redomestications, and reinsurance transactions.
In General. Kevin earned his M.B.A. from Villanova University and his J.D., magna cum laude, from the Villanova University School of Law where he was Order of the Coif and an associate editor of the Villanova Law Review, with a published note addressing immigration law and refugees of the Iraq war. He was also a recipient of the Scribes Award for Outstanding Legal Writing and Editing. Kevin received his bachelor's degree, cum laude, from the University of Notre Dame. He previously worked in the Legislative Affairs Office of Ohio's Auditor of State.
Kevin is admitted to practice law in Pennsylvania and New Jersey.
