Kim Decker represents domestic and international clients with a wide array of business needs, providing practical advice and counseling from the everyday to the most sophisticated business matters. Her experience includes assisting clients with securities compliance, corporate governance, contracts and negotiations, mergers and acquisitions and bank regulatory issues. She also guides non-profit companies through mergers and acquisitions, reorganizations, general business matters and corporate governance issues. Kim chairs the firm's Securities practice, and assists companies with public and private debt and equity offerings. For public company clients, Kim provides advice with respect to 1934 Act issues, including annual meetings, proxy solicitations, Sarbanes Oxley, director independence, corporate governance, preparation of annual and quarterly reports, Section 16 reporting, current reports on Form 8-K and related matters. She also advises investment advisers with respect to 1940 Act compliance. She assists both public and private companies with mergers and acquisitions, including both stock and asset transactions, in addition to serving their everyday corporate and business needs. She also brings that experience to bear in the non-profit world, where she has assisted non-profit companies with reorganizations and mergers and acquisitions as well. In banking law, Kim handles bank and bank holding company formation and regulatory compliance, corporate and securities issues and provides consumer compliance and other bank regulatory advice. In addition, she guides clients in the negotiation and completion of bank acquisitions, branch acquisitions and investments in other banks. Kim has had an opportunity to gain a better perspective on servicing clients and assessing their legal goals and needs through acting as "in house counsel" to some of her clients. She assists one public company client in its corporate headquarters one day a week, fielding a wide variety of questions and partnering directly with in house counsel to serve the company's internal clients. She also serves as "outside" general counsel to many of her smaller, privately held company clients who do not have in house lawyers. Both of these experiences enable Kim to step back and take a broader perspective on a company's legal needs by relating them to the company's business needs. Kim's clients consist of regional, national and international companies, and her public company clients include companies listed on all three stock exchanges. Clients Kim has represented include an international $1.5 billion, NYSE-listed specialty steel fabricator, a multi-state bank holding company with $14 billion in assets, a regional, NASDAQ-listed telecommunications provider, and an international specialty paper manufacturer, among others. However, a large portion or her client base consists of privately held, regional companies. Kim negotiates a wide variety of complex contractual issues for regional and multinational corporate clients in industries including telecommunications, manufacturing, distribution and education. Kim is a frequent presenter on the topics of contractual issues, "battle of the forms," the Uniform Commercial Code and administration.
