Practice/Industry Group Overview
Kutak Rock LLP's reputation as a leader in the public finance area was built on our ability to devise innovative strategies for the dynamic environment of tax-exempt financing, particularly complex issues, as well as providing routine legal advice on a client-friendly and cost-effective basis. We have participated in thousands of tax-exempt public finance transactions, representing issuers as bond counsel in all 50 states and serving as underwriter's counsel to most national and numerous regional investment banking firms, as well as national finance counsel to several major corporations. Kutak Rock has been listed among the most active bond counsel and underwriter's counsel firms in the nation in annual industry rankings since such statistics were first compiled. In 2011, Thomson Reuters ranked Kutak Rock (based upon principal amount of bond issues) third in the nation as bond counsel, fifth as underwriter's counsel and fourth as disclosure counsel.
We also have served as special tax counsel, special disclosure counsel, counsel to letter of credit banks, liquidity providers and financial guaranty insurers for thousands of financings throughout the nation. Financing areas in which our firm has particular expertise include single- and multifamily housing, health care facilities, traditional public projects, mass transit projects, public utilities, higher education facilities and development districts. In addition, we are very active in the area of municipal derivatives for both primary and secondary markets, as well as interest rate swaps and related instruments.
A particular strength benefitting our clients is a group of nationally recognized tax lawyers dedicated solely to the public finance practice. This group, which includes a former head of the IRS's municipal bond group, has obtained numerous precedent-setting tax rulings, including the first interest rate swap integration ruling. They also have handled numerous IRS bond audits.
Kutak Rock has been instrumental in drafting and implementing both federal and state legislation affecting public finance, and represents states and municipalities in various other capacities.
