Lauren Tarantello is an associate in the Corporate Practice Group in the firm's Orange County office and is a member of the firm's Healthcare and Food and Beverage Industry Teams.
Areas of Practice
Ms. Tarantello's practice encompasses general corporate matters with a particular focus on transactions in the healthcare industry, including mergers and acquisitions, strategic alliances, and joint ventures. Ms. Tarantello's clients include hospitals, healthcare foundations, physician groups, pharmacies, surgery centers and clinics, rehabilitation facilities, home health providers, medical device companies and other health care providers, payors and investors.
Ms. Tarantello works with health systems and provider groups on a variety of business ventures nationwide. She also advises on regulatory compliance matters such as licensing, the Health Insurance Portability and Accountability Act, Medicare, corporate practice of medicine compliance, and state and federal fraud and abuse issues including Stark Law and the Anti-Kickback Statute, helping clients develop and maintain successful compliance programs.
She assists in providing outside General Counsel services for a hospital in southern California. In addition to firm practice, Ms. Tarantello has also served as full-time in-house counsel for Hoag Memorial Hospital, a nonprofit network encompassing hospitals, clinics, and more than 1, 500 physicians. She provided in-house legal support during Hoag Hospital's 2013 affiliation with St. Joseph Health Systems, forming the parent organization Covenant Health Network - a nonprofit organization of seven full service hospitals, which now provides roughly one-third of all healthcare in Orange County.
Her experiences include working with:
•South Denver Anesthesiologists, a group of more than 100 anesthesiologists and anesthesia assistants who provide care to some of the most prestigious hospitals and surgery centers in the Denver area, in forming its partnership with Welsh Carson Anderson & Stowe portfolio company U.S. Anesthesia Partners, the nation's largest anesthesia-focused, single-specialty physician services organization.
•Dallas-based Pinnacle Anesthesia, one of the largest anesthesia groups in the United States with over 500 anesthesia providers, in its partnership with U.S. Anesthesia Partners.
•Molina Healthcare, Inc. (NYSE: MOH) in connection with its $200 million acquisition of Providence Human Services, LLC and Providence Community Services, LLC from Providence Services Corporation (NASDAQ: PRSC).
•J Vineyards & Winery in the sale of substantially all of its assets to E. & J. Gallo Winery.
•Hoag Memorial Hospital Presbyterian in its affiliation with St. Joseph Health Systems, forming the parent organization Covenant Health Network - a nonprofit organization of seven full service hospitals, which will now provide roughly one-third of all healthcare in Orange County.
•Stearns Holdings, the parent company of Stearns lending, in its sale to Blackstone Group LP, a global asset manager based in New York.
