Laurent Gauthier is an associate in our Financial Services Group in Montréal. His practice focuses mainly on financing and corporate and banking law.
Most recently, Mr. Gauthier has worked as:
· counsel to GFI Solutions Group Inc. in connection with the establishment of loan facilities for an amount of up to $50 million;
· counsel to Kruger Products L.P. in connection with its $175 million high yield note offering by way of private placement;
· counsel to Desjardins Financial Corporation in its $443 million acquisition of Western Financial Group;
· counsel to AbitibiBowater in the $615 million sale of its 60 % interest in the McCormick Hydroelectric facility to Hydro-Québec;
· counsel to Bell Mobility in its $142 million acquisition of Virgin Mobile Canada;
· counsel to Innergex Renewable Energy Inc. in its $80.5 million offering of TSX-listed convertible extendible unsecured subordinated debentures;
· counsel to Innergex Renewable Energy Inc. in its $85 million offering of TSX-listed cumulative rate reset preferred shares;
· counsel to Innergex Renewable Energy Inc. in its acquisition of a 27MW solar project from Enfinity;
· counsel to a Canadian chartered bank in connection with a public offering in Canada of $145 million of Non-cumulative Five-Year Rate Reset First Preferred Shares;
· counsel to Smart Balance in its $66.3 million acquisition of Glutino Food Group, a Québec-based leading manufacturer of gluten-free products;
· counsel to a leading Canadian financial institution in respect of the entering into of a $450 million IT infrastructure outsourcing agreement;
· counsel to financial institutions including Crédit Suisse AG, BNP Paribas and National Bank of Canada with respect to the offering, structuring and regulation of structured products, including linked and principal-protected note offerings and publicly traded preferred share offerings;
· counsel to a leading Canadian IT consulting services firm in its $41.7 million acquisition of a TSX-V listed software company.
Mr. Gauthier received a Bachelor of Laws (LLB) from the Université de Montréal in 2007. He also earned a Bachelor of Engineering Physics from the &Ecaute;cole Polytechnique de Montréal in 2004. He was admitted to the Québec Bar in 2008.
