| Biography | Larry Coassin is a member of the firm's Corporate and Finance Groups, where he represents business clients in acquisitions (including leveraged buyouts by management groups), divestitures, and mergers throughout the United States. Mr. Coassin has extensive experience in negotiating and structuring credit facilities, partnership relationships, joint venture agreements (domestic and international), and technology licensing agreements. In addition to his transactional practice, he provides legal advice in connection with the various day-to-day business requirements of his clients. He has also represented clients in the negotiation of the terms of classes of preferred stock, common stock, and warrants and the terms of senior, subordinated, and revolving credit debt for borrowers, issuers, and institutional lenders and investors in equity and debt financings. Client provides diversified systems for missiles, space launch vehicles, the soldier, and ground vehicles. Client is prime contractor to U.S. and foreign military customers and subcontractor to many U.S. prime contractors. Special Devices' Defense & Aerospace Group provide many critical components complementary to client's core product lines. - Represented Ensign-Bickford Industries, Inc., in its acquisition of DanChem Technologies, Inc., a custom manufacturer of fine and specialty chemical products.
