Representation of debtors in connection with individual/corporate reorganization/bankruptcy case, including:
Integrated Health Services, Inc. and over 400 subsidiaries in the healthcare industry -$1 billion business encompassing nursing homes, home health care, other health care businesses. Continue to represent Liquidating LLC created pursuant to a confirmed Plan of Reorganization in connection with the administration of aspects of the Plan.
Ameripol Synpol Corporation - National producer of synthetic rubber for the tire industry. Successful reorganization.
919 Third Avenue Associates - Major Manhattan office building. Reorganized in pre-packaged bankruptcy.
Chapter 11 Trusteeships
Representation of chapter 11 operating trustees:
David Schick and related entities - Individual real estate and partnership interests and assets. Creditor victims of Ponzi scheme recovered 30% under a confirmed Plan of Reorganization as a result of numerous significant fraudulent conveyance and preference recoveries.
Richard Friedberg and Roger Greene - Individual and partnership interests, including $70 million of undeveloped real estate. Plan confirmed and all administrative and general unsecured creditors paid in full over several years.
Asset Purchases In Bankruptcy Proceedings
Host Marriott Corp. - Purchase of the Financial Center Hotel in Manhattan through a back-to-back purchase of the outstanding secured debt of the hotel and acquistion of the hotel property as the holder of secured debt in a prepackaged bankruptcy. The transaction resulted in savings of over $3 million in transfer taxes.
SFX Entertainment, Inc. - Purchase of substantially all the assets of Livent, Inc. valued in excess of $100 million.
Represents Chapter 11 debtors and Trustees in all phases of reorganization proceedings, clients seeking to purchase assets from bankruptcy debtors, and clients asserting secured or unsecured claims against bankruptcy debtors.
Renders bankruptcy opinions in connection with substantial M&A transactions.
Represents clients in a broad spectrum of industries and professions in commercial disputes of all kinds, including extensive experience in the defense of professional liability actions and securities actions against accountants and other professionals and the representation of officers and directors in shareholder direct and derivative actions.
