He focuses on cross-border and Belgian corporate, financial and commercial transactions. He advises on mergers, acquisitions, financing, restructurings of companies, on a Belgian and European level. As a Belgian lawyer, Leo has extensive experience in contract law, distribution law, and inbound investments. Leo serves an international clientele, and has about 25 years of professional legal experience. As a member of the Brussels Bar, Leo is entitled to represent clients before the Belgian and European courts. REPRESENTATIVE MATTERS: CORPORATE TRANSACTIONS AND CORPORATE LAW: Represented a construction company in the acquisition of several groups of companies active in the construction sector in Belgium, France, the Netherlands and Poland. Represented the client with the Belgian competition authorities. Assisted a company in the food industry in its acquisition of a chicken slaughter-house, and in the partial de-merger and restructuring of the group. Represented a Dutch-Belgium based Telecom Group in its acquisition of several Belgian ISP's, and of the Belgian subsidiary of a Dutch Telecom operator. Represented the client with the Belgian competition authorities. Represented a construction company in its disposal of a company active in precast concrete (Belgium, France and Poland). Represented the client with the Belgian competition authorities. Represented a real estate company in its acquisition of a real estate company and in the sale of a real estate project. Represented the management of a Belgian subsidiary of a US telecom company in a management buy-out from its bankrupt parent company. Advised a car manufacturer with regard to the acquisition of the dealer network in Belgium, and advised and drafted a settlement agreement between a Car Manufacturer and its distributor. Advised and assisted a US based chemical company in the restructuring of its business in Belgium; assisted with legal conversion of companies, changes in shareholdings and mergers. Represented a Telecom operator in the coordination and negotiation of the acquisition of a mobile telecom operator in the Netherlands. Advised a Belgian bank with respect to the securitization of shares and debt. Represented a European Group with the restructuring of its subsidiaries, in the framework of a real estate transaction and re-financing. Coordination throughout Europe of the corporate secretarial of a multinational active in the Healthcare business and the Security business. Advised a group of companies with regard to the restructuring of the group. Advised companies on the implementation of the corporate governance legislation and rules. Drafted and negotiated an undisclosed partnership agreement in the framework of a joint venture. Advised a US group on the sale and transfer of assets and liabilities of a branch office in Belgium. Conducted and coordinated the due diligence in several countries in view of the acquisition as well as vendors due diligence. Advised and implemented several national an international mergers and restructuring. FINANCIAL: Assisted in dealing with the Belgian and Dutch legal aspects of a refinancing operation of the Pharma Group. Advised and assisted from a corporate and financial law point of view on the private placement in New York of a bond loan, and the related documentation. Advised a public company on the corporate structuring of its pension fund. Represented an insurance company with the sale of an automobile insurance portfolio. Represented a bank with the securitization of debt. Advised a Private Equity fund with the restructuring of a bank loan for the UK subsidiary of the fund. Reviewed and provided for documentation for collateral (pledge of Euro clear accounts) for a UK based fund. Assisted with the documentation of loans. Successfully advised and assisted to avoid the bankruptcy of the Belgian operations of a US telecom group. COMMERCIAL: Represented a distributor of medical equipment regarding distributorship agreements. Advised and assisted regarding the implementation of the law on gaming, gambling and the operation of luna parks and casinos. Advised and assisted with respect to gaming licenses. Advised on the general terms and conditions of sale and purchase on behalf of a US steel company, and of a telecom operator. Advised on fair trade practices. LITIGATION: Represented a client with post acquisition litigation relating to share purchase agreement. Represented a client with post acquisition litigation relating representations and warranties. Represented a client with regard to litigation regarding the stock options and directors' liability. Represented a client with regard to litigation regarding the termination of a distribution agreement. Represented a client with regard to litigation regarding the documentary credit.
