Lynn Hnatick's practice focus is corporate and commercial law with an emphasis on corporate finance, securities offerings, stock exchange listings, regulatory compliance matters (including continuous disclosure obligations and corporate governance matters), mergers and acquisitions, and mining and mineral exploration.
Lynn advises public companies listed on the Toronto Stock Exchange, the TSX Venture Exchange and the American Stock Exchange, as well as private companies and institutional lenders, in the natural resources, transportation and financial services industries.
Representative Work
· Canadian counsel to a publicly-traded mining company listed on the Toronto Stock Exchange in connection with a $57.5 million prospectus offering, a $13.8 million special warrant offering, an $18 million debenture offering, a $20 million prospectus offering and numerous private placement transactions, as well as mining and mineral related matters involving purchases and sales of mineral properties and title to mineral properties.
· Acted for a major publicly-traded mining company listed on the Toronto Stock Exchange on a mining joint venture arrangement in Australia and a corporate reorganization of certain mining and mineral interests.
· Counsel for a mineral exploration venture issuer listed on the TSX Venture Exchange on its merger with another venture issuer by way of a plan of arrangement, a $7 million private placement transaction and numerous other mining and mineral related matters involving joint venture arrangements and operations, purchases and sales of mineral properties, title to mineral properties and exploration matters.
· Counsel for a venture issuer listed on the TSX Venture Exchange focused on mining and mineral exploration on a $13 million private placement, a $7 million note offering and numerous mining and mineral related matters involving joint venture arrangements and operations, title to mineral properties and exploration matters.
· Acted for an active publicly-traded aviation company listed on the Toronto Stock Exchange on numerous corporate finance and merger and acquisition transactions, including its initial public offering, acquisitions of private companies valued at $65 million, $80 million and $50 million, and private placements of shares and debt to raise over $50 million.
· Counsel for a labour-sponsored venture capital corporation (LSVCC) on general regulatory and compliance matters, corporate governance and its annual prospectus renewal.
· Acted for a mineral exploration venture issuer listed on the TSX Venture Exchange on its initial public offering in Australia.
