Lynn Parsons is a partner in McCarthy Tétrault's Financial Services Group in Toronto. Her practice focuses on project finance and secured lending and Ms. Parsons regularly advises lenders and borrowers with respect to such lending transactions.
Ms. Parsons has participated in the various aspects of the financing of independent power projects, including the negotiation and drafting of credit agreements, security documentation, inter-creditor agreements, opinions and third party consents.
Recent transactions include the following:
· acting as lead counsel for the borrower in connection with ongoing matters related to Cdn$942,000,000 construction facility for 870 megawatt gas fired combined cycle power generation facility
· acting as lead counsel for a Canadian mining company in connection with a US$50,000,000 revolving credit facility for, inter alia, development and operation of certain of its mining projects
· acting as counsel for the lenders in connection with a $354 million loan for the construction of a wind power project in the Province of Ontario
· acting as counsel for the lender in connection with an amended and restated credit facility provided for the construction of a wind power project in the Province of Prince Edward Island
· acting as counsel for the lenders in connection with a $117 million loan for the construction of a wind power project in the Province of Ontario
· acting as counsel for the lenders in connection with a $580 million loan to finance the construction and operation of a 260 megawatt gas fired combined cycle power generation facility in the Province of Saskatchewan
· acting as counsel for the lenders in connection with a $126 million loan for the construction and operation of a 86 megawatt gas-turbine based simple-cycle facility in the Province of Saskatchewan
· acting as counsel for the lender in connection with a $100 million loan used for the purposes of a share acquisition
· acting as lead counsel for the borrower in connection with a senior and subordinated credit facility for construction purposes of a series of fitness clubs in the Province of Ontario
· acting as counsel for the lenders in connection with a $100 million loan for the construction of a wind power project in the Province of Ontario
· acting as counsel for the lenders in connection with an $82 million loan for the construction of a wind power project in the Province of Ontario
· acting as counsel for the lenders in connection with a $100 million loan for the construction of a wind power project in the Province of Nova Scotia
· acting as counsel for the lenders in connection with a $50 million unsecured revolving credit facility provided to a borrower involved in the operation of a nuclear facility in the Province of Ontario
· acting as counsel for the bond purchasers in connection with the offering of $95,000,000 in aggregate principal amount of first mortgage bonds by an issuer who owns and operates a hydro-electric generating, transmission and distribution system in the Province of British Columbia
· acting as counsel for the bond purchasers in connection with the offering of $264,000,000 in aggregate principal amount of senior secured bonds and $115,000,000 in aggregate principal amount of subordinated secured bonds by an issuer operating and maintaining hydro-electric generating facilities in the Province of British Columbia
· acting as counsel for the lender on a $90 million for a wind power project
· acting for a syndicate of lenders in connection with the construction of an ethanol plant
· acting as lead Canadian counsel for the lender on a $152,760,000 loan for the construction of a wind power project in Illinois
· acting as lead counsel for a borrower in a series of revolving credit facilities for the purposes of funding costs related to the public issuance of flow through securities
· acting as counsel for the providers of the margin funding facility in connection with the Canadian non-asset backed commercial paper market
Ms. Parsons received her LLB (cum laude) from the University of Ottawa in 2001 and was called to the Ontario bar in 2002. Ms. Parsons is a member of the Law Society of Upper Canada as well as the Canadian and Ontario Bar Associations. Ms. Parsons completed the Rotman School of Management (University of Toronto) Business Leadership for Women Lawyers Program in April 2011.
