Overview

Marc Heller is a Director in the Real Estate group where he specializes in loan workouts and restructurings (including deeds-in-lieu of foreclosure), acquisitions and dispositions of loans (mezzanine and first mortgage, performing and non-performing), construction and permanent mortgage financing (including syndications), commercial and multifamily acquisitions and dispositions, loans to franchisees of casual dining concepts secured by restaurant leases, and corporate real estate matters for cable systems and television stations (relating to ongoing business operations and acquisitions and dispositions of cable systems and television stations).

Representative Experience

· Representation of clients in connection with the negotiation and closing of consensual turnovers of encumbered assets (including by deeds-in-lieu of foreclosure) or the orderly marketing of encumbered assets.

· Representation of clients in connection with the sale and acquisition of notes (performing and non-performing).

· Representation of a major money center bank in connection with construction loans for the development of multi-family rental and condominium units in Battery Park City, New York. These financings were secured by leasehold mortgages on severance leases granted by Battery Park City Authority (a public benefit corporation of the State of New York) to the borrowers.

· Representation of a major shopping center owner, developer and manager in connection with a secured financing from an insurance company relating to a 270,000 square foot grocery anchored center located in Pelham Manor and the Bronx, New York.

· Representation of a major foreign bank in connection with its acquisition of senior secured and mezzanine loan positions in loans relating to trophy assets and development/construction projects located throughout the United States.

· Representation of a major real estate fund in connection with various financings of office and multifamily assets nationally.

· Representation of a major exchange fund in connection with various financings of office/light industrial/warehouse properties located throughout the United States.

· Representation of a major institutional owner of multifamily assets primarily on the West Coast in connection with its disposition, acquisition and financing activities.

· Representation of a major money center bank in connection with various credit facilities made to large franchisees of casual dining concepts secured by restaurant leases.

· Representation of a suburban developer of multifamily properties (including joint venture agreements and senior and mezzanine loans).

· Representation of a major foreign bank in connection with a $300 million leasehold mortgage financing with respect to 9 West 57th Street, New York, considered to be one of the finest office properties in New York City.

· Representation of a major foreign bank in connection with a construction loan to the Whitehall Funds (affiliates of Goldman Sachs) with respect to the Hubert, a high end condominium project in the Tribeca neighborhood of New York City.

· Representation of a major bank in connection with a construction loan with respect to the development of a 13-story 284,000 net square foot building in Washington, D.C.

· Representation of a major investment bank in connection with its purchase of a portion of a loan made to two Whitehall Funds (which loan was structured in a similar fashion to loans made to REITs).

· Representation of a major investment bank in connection with the acquisition, through a joint venture, of over $200 million in first mortgage and mezzanine loans.

· Representation of the real estate affiliate of a major investment bank in connection with the disposition of several office properties in the NY/NJ area.

· Representation of a major national cable system operator in connection with the real estate aspects of acquiring 4 cable systems from AT&T (involved acquiring 86 fee properties and 140 leaseholds).

· Representation of the owner of a group of television stations nationwide (some in major markets) in connection with their real estate matters (including tower leases, station sales and financing matters).
