Marianne Caulfield concentrates her practice in the area of financial services, with a particular focus on loan trades.
Ms. Caulfield represents commercial banks, investment banks, broker-dealers, hedge funds and other entities in loan and claims trading, CDO and loan portfolio transactions, and related matters. She has extensive experience in reviewing, drafting, and negotiating credit and transfer documentation relating to both par and distressed debt obligations. She also advises clients on multi-currency loans, loans issued to foreign entities, trade claims, and project finance loans.
Ms. Caulfield worked on the trading desk of a global investment bank, where she served in its in-house counsel department, oversaw the closing process for par and distressed loan trades, and supervised the desk's regulatory compliance.
Ms. Caulfield also has experience in issues such as anti-trust, corporate governance, immigration and employment, regulatory compliance, advertising, and insurance, as well as reviewing and drafting purchase and sale agreements for mortgage banking clients.
