Mr. Ellis' practice focuses on mergers and acquisitions, financing of privatized military housing, federal securities law and general corporate law. He has represented acquiring and target companies in various industries, including financial services, insurance, technology, energy and manufacturing. Mr. Ellis also has represented issuers and underwriters in numerous public and private offerings of debt and equity securities. In addition, he provides federal securities law advice regarding registration, reporting, disclosure and compliance.
•Representing the underwriter in the first issuance of investment grade rated, non-credit enhanced bonds to finance privatized military housing.
•Representing an issuer in the shelf registration of several billion dollars of notes backed by credit card receivables.
•Representing a mutual insurance company in its conversion to a stock company and its initial public offering at a time when fewer than 10 such transactions had been accomplished.
•Representing numerous small to mid-size public and private companies in mergers and acquisitions and the public and private offering of equity and debt securities.
