Mark Arnold is a corporate transactional attorney primarily focused on mergers and acquisitions, private equity and venture capital transactions, and general corporate matters. He has experience in securities issues and other corporate finance transactions representing both public and private companies in domestic and international matters. Mr. Arnold was honored by Florida Trend Magazine as one of its Up-and-Coming Legal Elite in both 2004 and 2006.
Notable Experience
· Represented South American purchasers in a $48 million asset purchase/joint venture transaction. Negotiated and drafted joint venture agreement and asset purchase agreement for purchase of seven television stations, FCC licenses and broadcasting assets related to the establishment of a Hispanic television network spanning from Key West to Pompano Beach.
· Represented management team in $90 million buyout transaction providing advice on structure of the transaction and compensation package including equity in the surviving entity.
· Represented an air travel company in $125 million private placement of Series C convertible preferred stock.
· Represented a premier Florida-based cruise line in its ongoing strategic ventures and expansion of operations in Latin America and the Caribbean.
· Represented a Barbados-based purchaser in the acquisition of a majority stake in retail jewelry businesses operating throughout the Caribbean.
· Represented numerous development stage companies in private placement offerings.
