Mr. Gundersen concentrates his practice in representing regional, national and international companies and venture capital firms in mergers, acquisitions and corporate financing transactions. For emerging growth companies, Mr. Gundersen negotiates equity and debt financing, acquisitions, joint ventures, distribution arrangements and cashing out transactions.
Mr. Gundersen's contractual practice frequently involves the negotiation of licensing arrangements and joint development agreements for technology-based clients. Representative transactions include the acquisition of videoconferencing patent estates valued at over $20 million, a life science licensing arrangement valued at over $30 million, and a strategic development and licensing venture with a Fortune 50 company.
Formerly the Vice President and General Counsel of a biotechnology company, and a Senior Counsel of the DuPont Company with assignments in Geneva, Switzerland and Wilmington, Delaware, Mr. Gundersen's M&A experience includes a broad range of acquisitions, divestitures and joint ventures in both the U.S. and Europe. Representative transactions include textile fiber acquisitions in China and Argentina, acquisition of a $40 million automotive assembly company and acquisition of a $25 million chemical plant from a bankrupt estate. He has also represented sellers in the sale of a $150 million animal nutrition business, and management in a $100 million leveraged buyout.
Mr. Gundersen has been recognized as a Chambers USA "Leaders in their Field" lawyer for 2011 and 2012.
