Mary Anne concentrates her practice in the areas of corporate transactions and securities. She advises companies of all sizes on day-to-day legal issues and strategic opportunities such as acquisitions, sales of businesses and financings. Mary Anne also works extensively in all phases of securities law, including preparation and negotiation of documents for public securities offerings registered with the SEC. She assists public companies with periodic reports (proxy statements and Forms 10-K, 10-Q and 8-K). Mary Anne also assists investment advisers and broker-dealers with registration and ongoing regulatory compliance matters. She also represents a number of private equity firms in structuring, negotiating and administering investments in early- and later-stage companies and advises businesses and private equity funds on mergers and acquisitions.
