Mary Jeanne Phelan is a partner in our Business Law Group in Montréal.
Ms. Phelan's practice focuses on commercial lending and derivative and credit transactions, both national and international in scope. Her practice involves advising clients on banking, taking security, corporate debt restructuring, securitization, negotiating ISDA agreements, and implementing credit facilities.
Ms. Phelan's recent retainers include:
· acting for the lending syndicate in connection with a $175-million financing of GLV Inc., a world leader in liquid/solid separation technologies with operations in over 30 countries;
· acting for the lending syndicate in connection with a $250-million CAD and $320-million US cross-border financing of subsidiaries of Garda World Security Corporation, a leading provider of consulting, investigation and security services having worldwide operations;
· acting for Kruger Energy Port Alma Limited Partnership in connection with a $196-million financing for a wind farm project in Port Alma, Ontario;
· acting for debtors and lenders in connection with CCAA restructurings;
· acting for GE Canada Equipment Financing G.P. in connection with its ongoing loan and lease securitization programs;
· acting for issuers and trusts in both public offerings and private placements of vehicle financing receivables, credit card receivables and other trade receivables;
· acting for a bank in connection with financings in the health care sector, including expansion project financings for long-term care facilities;
· acting for various banks in connection with the financing of various infrastructure projects in British Columbia, Venezuela and the Dominican Republic;
· acting for lenders in the context of equipment and inventory financings, by way of loan, conditional sale, lease or leasing agreements;
· acting for various financial institutions and corporations in connection with drafting schedules to the ISDA Master Agreement and Credit Support Annex and negotiating such agreements with domestic and international counterparties; and
· acting for a bank in connection with the termination of structured currency swap transactions in the context of CCAA restructurings.
Ms. Phelan earned a BA (first-class joint honours in History and English) from McGill University in 1994, an LLB from the Université de Montréal in 1997, and a Master's degree in International Commercial Law (M.Juris) from Oxford University in 1998. In 1999, Ms. Phelan completed an internship at Unidroit (International Institute for the Unification of Private Law) in Rome, Italy.
In the 2011 edition of the Canadian Legal Lexpert Directory, Ms. Phelan is "repeatedly recommended" as a leading practitioner in the Québec Region in the Asset Securitization sector.
Ms. Phelan was called to the Québec and the New York State bars in 2000. She is a member of the board of directors of the Andover Canadian Fund, Inc., a non-profit organization that provides scholarships to Canadian students attending Phillips Academy in Andover, Massachusetts.
