A member of the Corporate Department, Mary represents both public and private clients in a wide variety of securities matters and mergers and acquisitions. Prior to joining the firm, Mary practiced in the New York office of Sullivan & Cromwell LLP, where her practice focused on general corporate and securities matters, including primary and secondary offerings and public disclosure issues for financial institution clients.
Mary leverages a thorough knowledge of securities law, and has extensive experience guiding clients through a variety of transactions, including private placements, public offerings, exchange offers, debt offerings, recapitalizations and reorganizations, and corporate governance. She also is adept at counseling clients on compliance with SEC rules, as well as drafting and reviewing SEC filings, including 10-Ks, 10-Qs, 8-Ks and proxy statements. Understanding that securities issues usually arise as part of complex, multi-layer transactions, Mary places a premium on communicating with clients and explaining their options in clear business terms, enabling them to proceed forward with confidence. She teams with her clients, building lasting relationships that enable her to provide counsel on a variety of transactions, including acquisitions, sales, and capital raises. She has advised a number of regional, national and global clients in securities matters and other transactions, including a multi-national insurance company in an exchange of approximately $7.2 billion of publicly-traded notes and debentures.
Prior to her practice, Mary worked as a writer and editor for a publisher of books and websites on personal finance topics, and co-authored "An Investor's Guide to Trading Options."

Represented a printing and software company in multiple international acquisitions. Involved in drafting purchase agreements and related documents, and managed the extensive due diligence process, including coordination with foreign counsel.
