Matt is an associate in the Business Law Department. He represents public and private companies in connection with mergers and acquisitions, SEC reporting compliance, and general corporate governance matters.
•Advised GnuBio Inc., a developer of fully integrated droplet-based DNA sequencing technology, as general counsel and in its acquisition by Bio-Rad Laboratories, Inc. in a merger transaction including milestone based contingent payments.
•Represented Boston Dynamics, Inc., an MIT Robotics spinoff, in its acquisition by Google Inc.
•Represented a private equity fund in its investments in two clinical toxicology laboratories.
•Represented Steward Health Care Systems LLC in its acquisition of New England Sinai Hospital.
•Represented Steward Health Care Systems LLC in its acquisition of an outpatient surgery center.
•Represented the founder of Micronics, Inc., a manufacturing company, in his sale of the company.
•Represented a private equity fund in the sale of an industrial asset management company.
•Represented a privately-held manufacturer of components used in electrical and communications applications in its merger with a publicly-held manufacturer of networking products for the communications industry.
•Represented a provider of case, clinical and financial management software for health and human services organizations in its acquisition by stock purchase of a clinical solutions company.
•Provides general counsel to a range of clients in the private equity, healthcare, technology, and retail industries.
•Advises non-profit organizations on general corporate governance matters.
Before Edwards Wildman
Matt is a graduate of the University of Virginia School of Law. While in law school, Matt served as editor of the Virginia Environmental Law Journal and President of the school's community mentoring program. He earned the Public Service Center's Pro Bono distinction and his paper Understanding the Liability and Damages Issues of LEED Certified Projects was awarded by the American Bar Association's Construction Law Forum. Before entering law school, Matt worked for a management consulting firm in Washington, D.C and the Appalachian Mountain Club in New Hampshire's White Mountains.
