Matthew M. McDonald joined the firm in 1999 and is a partner in the firm's Corporate & Securities Practice Group. Matt represents public and private clients in a variety of corporate and securities matters, including mergers and acquisitions, securities offerings, PIPEs transactions, divestitures and general corporate matters.
Representative Matters:
· Represented a subsidiary of a public company in its acquisition of a company providing online used car listings.
· Represented a private equity fund in its purchase out of bankruptcy of a company that sold organic cereals, cookies and crackers.
· Represented a subsidiary of a public company in its acquisition of a company providing online tee time reservations.
· Represented a private company in its acquisition of a manufacturer of sugar-free, low-fat and low calorie chocolates, cookies, candies, fruit spreads, syrups and snack foods.
· Represented an offshore reinsurer in connection with the disposition of its reinsurance business.
· Represented a division of a public company in its acquisition by merger of a fulfillment and magazine distribution business.
· Represented a lifestyle merchandising company in a public offering of its common shares.
· Represented the underwriter in a trust preferred offering for a regional bank.
· Represented the acquirer of an excess and surplus lines insurance business.
· Represented various hedge funds in PIPEs investments ranging from $5-50 million.
· Represented various public reporting companies regarding SEC reporting obligations, Sarbanes-Oxley compliance and general corporate matters.
In General. Matt received his law degree from the University of Pennsylvania in May 1999. He graduated from Texas A&M University with a degree in management in 1996. Matt is admitted to practice law in Pennsylvania.
