Matthew Kelleher is a partner in our Business Law Group in Toronto, Ontario. Mr. Kelleher's practice focuses on private mergers and acquisitions, corporate finance (both public and private) and general corporate matters. He regularly represents national and multinational corporations as well as medium-sized businesses. In addition to his M&A and corporate finance practice, Mr. Kelleher contributes significant time to pro bono matters and was nominated in 2007 and 2008 for the Canadian Bar Association Young Lawyer's Pro Bono Award in recognition of "outstanding pro bono legal services to the community by a young lawyer in Canada". Mr. Kelleher is also a member of the Firm's National Pro Bono Committee, the National Continuing Legal Education Committee and is actively involved with law student recruitment. Mr. Kelleher's recent transactions include: · Advising a subsidiary of The Bank of Nova Scotia in connection with its acquisition of a commercial leasing business. · Advising Siemens Canada on various acquisitions, divestitures and internal reorganizations. · Acting regularly for dealer syndicates in connection with the MTN programs of DaimlerChrysler Canada ($5 billion), Loblaw Companies ($1 billion) and George Weston Limited ($1 billion). · Advising the Creststreet Group in connection with the consolidation and sale of a Calgary-based wind energy facility. · Advising a major development group in connection with the acquisition of a publicly traded tax-loss entity by way of plan of arrangement. · Representing the underwriters in connection with the structuring and $86 million initial public offering of Acadian Timber Income Fund. · Advising six Canadian universities in connection with debenture financing transactions. Mr. Kelleher is the author of an article entitled Not For Profit Law - Four Things That Every Not-for-Profit Director Should Know (Volume 2, Issue 1 McCarthy Tétrault Co-Counsel: Business Law Quarterly) and, in September 2002, he prepared and co-presented a paper to the Canadian Association of University Solicitors entitled The Private Placement of Debt Securities - Financing Solutions for Canadian Universities.
