Matt represents closely held businesses and public companies of all sizes in corporate and securities matters. His general corporate practice includes assisting with mergers and acquisitions, joint ventures, shareholder meetings, management contracts, buy-sell agreements and succession planning. He also provides counsel on day-to-day operational, business and legal issues.
Matt's securities work includes advising clients on issues related to federal securities laws and preparing documents related to public offerings; periodic reports, such as proxy statements and annual reports to shareholders; and Securities and Exchange Commission filings for public companies, including Forms 10-K, 10-Q and 8-K, and filings for officers, directors and major shareholders of the reporting companies.
