Missy McGoogan is a member of Sutherland's Energy and Environmental Practice Group and focuses her practice on advising clients with respect to a wide variety of commercial transactions for energy commodities trading firms, including the trading, storage and marketing of crude oil and refined petroleum products and structured strategic arrangements.
Before joining Sutherland, Missy was an associate at a New York firm, where her practice focused on derivative transactions. Her prior corporate experience includes representing banks and hedge funds in U.S. and cross-border over-the-counter derivative transactions; hedge fund leveraging and financing transactions; hedge fund derivatives; prime broker document negotiation; securities law advice; and registered and exempt offerings of structured products linked to equity securities, commodities, indices and funds.
Additionally, prior to becoming a lawyer, Missy gained experience and knowledge in the hazardous waste and environmental remediation business when she served as an environmental engineer for an environmental consulting and engineering firm. As a law student, Missy also interned for the Honorable Paul Feinman of the New York County Civil Court and for the New York City Department of Environmental Protection's legal division.

Missy's representative experience includes:
· Drafting, reviewing and negotiating commercial documentation associated with oil trading, including general terms and conditions, physical master sale agreements, the LEAP Master Agreement for Purchasing and Selling Refined Petroleum Products and Crude Oil, long-form trade confirmations and long-term supply arrangements.
· Drafting, reviewing and negotiating credit support documentation, including master netting agreements, collateral annexes and other forms of credit support.
· Drafting, reviewing and negotiating agreements relating to the storage and throughput of various energy commodities, including crude oil, refined petroleum products and ethanol.
· Counseling clients on credit, legal and environmental due diligence of potential oil storage facilities.
· Drafting, reviewing and negotiating ISDA Master Agreements, including the ISDA Oil Annex, and ancillary documentation.
