Biography

Professional Experience

Michael A. Stosser is an energy attorney with 30 years of experience in many aspects of the energy industry, from traditional energy - natural gas, oil and power - to renewable and alternative energy and clean tech. His practice includes project development and finance of renewable and alternative energy projects, state and federal regulatory matters, and legislation.

Mr. Stosser was formerly with Ardour Capital Investments, LLC, an investment bank focused solely on the renewable energy sector and projects, where he served as Senior Vice President in banking and served as the company's General Counsel. Mr. Stosser has worked with clean tech companies and projects, including wind, solar, biofuels, fuel cells and other distributed generation and energy storage, green buildings, reusable plastics, biomass, geothermal, and coal gasification.

Prior to his position with Ardour, Mr. Stosser was co-chair of the energy practice at Heller Ehrman, LLP and founding partner and managing partner of that firm's Washington DC office. He formerly served as Assistant General Counsel for Rulemaking and Environmental Law at the Federal Energy Regulatory Commission. He has handled regulatory issues and represented clients in the development, construction and sale of cogeneration and other power generation projects, has represented natural gas pipelines and electrical utilities in matters before federal and state regulatory agencies, and represented clients before Congress.

Representative Matters

· Provide financial services to renewable/alternative energy and clean-tech companies, seeking to manage corporate, strategic or financial opportunities

· Represent companies in financing; raising money on the capital markets, and managing mergers, acquisitions and reconstructions

· Evaluated and worked with public and private renewable/alternative energy companies, assessing the desirability of a deal, including evaluating the company's technology, its potential success in the sector, and determining the value of the company

· Structured and negotiated detailed terms of a deal, with other banks, lawyers, and key personnel

· Assisted clients with mergers and acquisitions and managed the transaction process

· Work with equity capital markets and debt capital markets, advising clients on ways to raise capital and manage debt

· Worked on projects to raise capital for biofuels, solar, wind, clean-tech, fuel cell and other distributed generation and energy storage companies, biomass, geothermal, and coal gasification companies

· Handled all regulatory issues and represented clients in the construction and sale of cogeneration and other power generation projects

· Represented natural gas pipelines and electric utilities in matters before federal and state regulatory agencies

· Litigated enforcement certificate and rate proceedings before the Federal Energy Regulatory Commission, including a six-week trial setting rates

· Represented domestic and international clients in rulemaking proceedings

· Represented clients before members of Congress, including drafting proposed legislation and white papers

· Developed power generation projects; sold and purchased power plants

· Bought, sold and developed projects to construct natural gas pipeline facilities

· Assisted international battery company in filing an application for funding for the construction of a facility in the U.S., under the U.S. Department of Energy's Financial Assistance Funding Opportunity for Electric Drive Vehicle Battery and Component Manufacturing Initiative

· Assist an international battery company in assessing public funding opportunities, including federal, state, and local grants, tax incentives, and loan guarantees
