Michael B. Kirwan is a partner in the Transactional & Securities, Finance & Financial Institutions and Private Equity & Venture Capital Practices of Foley & Lardner LLP. He counsels business clients on acquisitions, financings, securities and corporate governance matters. Mr. Kirwan has worked on numerous public and private offerings, including IPOs and follow-on offerings, represented many companies on their periodic reporting obligations and other matters before the Securities and Exchange Commission, formed hedge funds, and handled a variety of business combinations and venture capital matters. He has significant experience in the banking, insurance and REIT industries. He currently represents a number of publicly traded companies, including Regency Centers Corporation (NYSE: REG), Body Central Corporation (NASDAQ: BODY), and Stein Mart, Inc. (NASDAQ: SMRT).
Prior to joining Foley, Mr. Kirwan was a partner in the corporate finance department at a large New York firm. He then became the executive vice president and chief operating officer for a national technology consulting firm.
Mr. Kirwan received his J.D. from Harvard Law School in 1988. He received his bachelor's degree, magna cum laude, from Duke University in 1984.
Mr. Kirwan is admitted to practice in Florida. He is a member of The Florida Bar and the American and Jacksonville Bar Associations.
Mr. Kirwan has been Peer Review Rated as AV® Preeminent™, the highest performance rating in Martindale-Hubbell's peer review rating system. He has written numerous articles for various Florida Bar publications and trade journals.
Mr. Kirwan is president of the North Florida Chapter of the Association for Corporate Growth and is general counsel to the Beaver Street Enterprise Center, a Jacksonville business incubator.
Mr. Kirwan has served on numerous civic and charitable boards, including the board of trustees for Jacksonville Episcopal High School and numerous Athena Powerlink advisory panels. He is a former chairman of the City of Jacksonville's Ethics Commission. Mr. Kirwan is also a member of the Downtown Rotary Club.
