Michael represents private and public clients in corporate and technology/intellectual property-related matters.
He assists and advises clients on general corporate matters such as entity selection and formation, commercial contracting, acquisitions and a myriad of day-to-day corporate operational, business and legal issues. Michael regularly assists clients with the drafting and negotiation of purchase and sales agreements, distributor agreements, sales representative agreements, license agreements, service agreements and other general corporate contracts.
In the technology and intellectual property area, Michael counsels clients on a variety of technology, e-commerce and computer-related transactions. He routinely provides advice to clients with respect to software license agreements, maintenance and support agreements, consulting agreements, outsourcing agreements, development agreements and hosting agreements. He also has significant experience in preparing website user terms and conditions, website privacy policies and web-based subscription agreements.
