Michael represents private and public clients in a variety of corporate, technology, intellectual property and e-commerce-related matters.
He assists and advises clients on general corporate matters, such as entity selection and formation, commercial contracting, acquisitions and a myriad of day-to-day corporate operational, business and legal issues. Michael regularly assists clients with the drafting and negotiation of purchase and sales agreements, distributor agreements, sales representative agreements, license agreements, service agreements and other general corporate contracts. Among his experience:
•Acted as general counsel for companies operating in the combustion and environmental solutions sectors.
Represented manufacturers in drafting and negotiating multimillion-dollar agreements on equipment sales, purchases and supplies.
Advised companies in drafting and negotiating software license and maintenance agreements.
Michael also possesses extensive knowledge in technology and Internet laws and regularly counsels Fortune 500 and other publicly traded companies in the drafting and negotiation of numerous agreements, including software licenses, maintenance and support, information technology (IT) consulting, outsourcing, development, software as a service (SaaS), hosting and cloud computing. He has represented clients in software and technology transactions against IBM, SunGard, Thomson Financial, Oracle, ADP, Symantec, Dell, Capgemini, HP and many other software and technology companies. Michael also has significant experience in preparing website user terms and conditions, website privacy policies and web-based subscription agreements.
Served as acting general counsel for several affiliated companies operating in the combustion and environmental solutions business.
