Selected Experience · Issuer's counsel to a healthcare real estate investment trust in five secondary public offerings of equity securities totaling more than $548 million; four private placements and associated public exchange offers of senior notes totaling more than $485 million; three tender offers and redemptions of securities totaling more than $200 million; and a public rights offering of approximately $50 million. · Special counsel to the Special Committee of the Board in connection with a $900 million going private transaction of a manufacturer of orthopedic surgical products. · Issuer's counsel to a special purpose acquisition company in its initial public offering for $57.5 million. · Counsel to an operator of skilled nursing facilities in connection with its approximately $1 billion going private transaction, the disposition of over 60 facilities, hospitals and home health agencies totaling more than $100 million and the private placement of $175 million of senior notes. · Counsel to the manufacturer of air-activated heat packs in the sale of its stock for approximately $78 million. · Counsel to a rural cellular operator in $90 million merger. · Counsel to computer component manufacturer in its asset sale totaling $239 million and its redemption of the equity interest of a founding member for $90 million.
