Michael is a Member in the firm's Corporate & Securities Section. He represents public and private companies, with an emphasis on financing transactions, mergers and acquisitions, and corporate governance issues.
He has represented issuers in numerous public offerings, including offerings by both domestic and foreign issuers. Recently, Michael has represented Vertex Pharmaceuticals, a leading biotechnology company, in a $400 million public debt offering. He also has represented Manulife Financial Corporation and several John Hancock companies, which have instituted guaranteed annuity and medium term note programs, the most recent of which was filed with the SEC in 2011.
Michael has extensive mergers and acquisitions experience as both purchaser's and seller's counsel. His recent transactions in this area include Ion Torrent Systems' $725 million sale to Life Technologies, Amicas, Inc.'s $267 million sale to Merge Healthcare, Vertex's $400 million acquisition of ViroChem Pharma Inc., and iBasis, Inc.'s $100 million sale to Royal KPN N.V. Other transactions include the representation of Qiagen N.V., which acquired Digene Corporation in a $1.6 billion transaction; OptiCare Health Systems, which was acquired by Refac Optical Group; Fastclick, which was acquired by ValueClick; Neon Communications, which was acquired by Globix Corporation; Broadwing Communications, which acquired Focal Communications; and Ticketmaster, which was acquired by USA Interactive.
Michael serves as general counsel to a number of public companies, as well as start-up companies. Public companies that he represents on an ongoing basis include Vertex Pharmaceuticals, Virtus Investment Partners, Alphatec, Primus Telecommunications, John Hancock Life Insurance Company, Sun Life Financial and Avantair. Private company clients include, BioHorizons, iBasis, C&S Wholesale Grocers, Inc., Ion Torrent Systems, Incorporated, W.E. Aubuchon Co. and Wellington Management, LLC.

Michael is admitted to practice in Massachusetts. He holds a BA in Economics from Boston College and a JD from the University of Notre Dame Law School.
