Michele L. Cohen has a real estate and business transactions practice primarily in the areas of business and technology law and commercial real estate transactions. Michele provides advice on all aspects of commercial real estate transactions, and manages a broad-based national and regional leasing practice. She has extensive experience in drafting and negotiating retail, both pad and in-line leases, and related documentation. Michele also represents clients in the acquisition, development and operation of real property in the Mid-Atlantic region. Real estate clients include national and regional property owners and tenants, commercial developers, retail companies, homebuilders, and financial institutions. Prior to joining Miles & Stockbridge, Michele served as associate general counsel to The Ryland Group, Inc., a national, publicly held real estate homebuilder and mortgage finance company. Michele is the President-Elect of CREW-Baltimore and a member of ICSC. Michele's business and technology practice is broad based and includes business and information technology counseling for both technology and "brick and mortar" companies. She provides advice on all aspects of business and technology contracting, including licensing, consulting services, e-commerce and privacy issues. Michele represents clients in the preparation and negotiation of a broad range of transactional agreements, including content and software licensing; distribution and marketing; on-line services, co-branding arrangements; non-disclosure agreements (relating to compliance with domestic requirements and on a cross-borders basis); and general business contracts, including manufacturing and distribution agreements, consulting and other professional services agreements. Michele also counsels clients on regulatory compliance and privacy law requirements specific to companies involved in e-commerce and other internet related areas. Clients include software developers, consultants, manufacturing and distribution companies, and corporate users of intellectual property.
