Nat Gardiner is a partner in our Business Law Department and co-chair of the Firm's Life Sciences Practice Group who serves as general counsel to public and private life sciences and technology companies in a wide range of corporate matters, including public and private equity offerings and acquisitions, plus a variety of other business agreements and strategic and corporate governance matters. Nat typically provides a range of services for a corporate client, including venture capital financings, public equity offerings, collaborations, compensation planning, corporate governance, and disclosure guidance. Nat also represents sellers and buyers in mergers and acquisitions, including representing several privately held companies in their successful sales for cash and stock. Nat has also advised U.S. clients on cross-border transactions involving companies in Germany, the Netherlands, Sweden and the United Kingdom, and works with U.S. companies on matters involving their operations in other European Union countries, China, India, Japan, Canada, Latin America, and elsewhere. Nat served as a co-head of the Business Law Department and a member of the Firm's Management Leadership Group from our merger in 2005 until March 2008. Nat is a trustee and member of the Executive and Finance Committees of Joslin Diabetes Center, Inc., a world leader in diabetes clinical care, education and research. Notable Experience · Closed multiple directed placements of shelf-registered shares of a public life sciences company totaling over $100 million in three years. · Negotiated a $250 million sale of a privately-held life sciences company. · Represented a privately held reagent and drug discovery services company in its $205 million sale to a U.S. public company. · Represented a privately held life sciences company in five rounds of venture and strategic financing totaling over $100 million. · Advised a public life sciences company on a $50 million equity line facility. · Represented a biotechnology company in its successful $30 million spin-out of a non-core business to a European company. · Represented several life sciences companies that have spun off separable research programs into new companies. · Represented a life sciences company in its $25 million sale of a portion of its future royalty and fee revenues from its widely licensed platform technology. · Advised a privately held research and development stage biotechnology company regarding a reorganization involving a reverse spin-off. · Represented several public companies in corporate governance matters under the Sarbanes-Oxley Act of 2002 and related regulations. · Represented several public and private companies in the establishment and use of equity incentive plans and a wide range of equity incentives for executives, employees, directors and consultants.
