Patton Boggs attorneys counsel domestic and foreign financial institutions, commercial enterprises, capital companies and investment funds in all aspects of their public and private financing, investment and capital formation activities. We represent these entities in their capacities as capital providers as well as issuers.

The tremendous depth of experience of our corporate finance attorneys spans virtually all forms of debt and equity financings and virtually all industries. These include leveraged acquisitions and leveraged recapitalizations, senior debt and mezzanine/second lien financings, large syndicated credit facilities, bridge financings, high yield offerings, private placements, project finance, and other forms of debt and equity financing. Industry areas in which we are particularly prominent include health care, energy and energy services, retail, resorts/vacation-ownership, financial services and financial asset portfolio acquisitions and financings.

We also handle investment fund formation and portfolio matters, including a significant presence throughout the junior capital markets and the structured finance markets. Our attorneys have formed numerous CLOs, CBOs, CDOs and other structured financing vehicles, with aggregate fundings in excess of $100 billion, and we are prominent in the debt trading industry. Also, we have significant experience in conduit financings and securitizations, including some of the largest transactions in the country.

Many of our partners are nationally recognized leaders in their field. Substantially all of them also have extensive workout and bankruptcy experience, including debtor-in-possession financings, plan of reorganization financings and acquisitions of assets out of bankruptcy, which enables us to more effectively advise our clients in all of their corporate finance activities.

Represented natural resources company in structuring, negotiating and closing of $250 million bank credit facility and $150 million acquisition bridge financing during the pendency of the company's initial public offering. Represented publicly traded financing company in structuring, negotiating and closing of a $1 billion securitization of nonresidential commercial loan portfolio. Represented secured lender in $250 million financing of acquisition of nursing homes and assisted living facilities. Represented secured lender in structuring, negotiating and closing of $150 million project financing of food processing facility.

Represented an investment manager in matters concerning the interpretation of its trust indenture and in structuring a series of dispositions of financial assets in a manner compatible with the trust indenture.

Represented large professional services firm in the development and expansion of its sales of professional services to federal government departments and agencies. Represented finance company in series of acquisitions of healthcare loan portfolios and other specialty finance portfolios from distressed sellers.
