Paul Raymond is experienced in corporate and securities law, financings and business acquisitions and sales. He has been involved in debt and equity financing of private and public corporations, governments and Crown corporations by way of private or public offerings in Canada and the United States, acting on behalf of issuers and underwriters. He has acted in various transactions for the purchase or sale of businesses as well as in mergers and reorganizations. Mr. Raymond has also been involved in various structured finance transactions in Canada and abroad.

Mergers and Acquisitions
· The Independent Committee of the Board of Directors of MEGA Brands Inc. in connection with a lengthy strategic review process undertaken by the Board of Directors and the approval of a comprehensive recapitalization transaction announced on January 14, 2010
· The Special Committee of the Board of Directors of Cossette Inc. in connection with an unsolicited, non-binding proposal by Cosmos Capital Inc. to acquire all of Cossette's shares and the review of the various strategic options available to Cossette and its subsequent sale to Mill Road Capital completed on December 23, 2009
· Metro Inc. in connection with its acquisition of 15 supermarkets and the regional wholesale and distribution network of Les Supermarchés GP inc.
· Jolina Capital Inc. and other partners in connection with an equity and debt offering to Tembec Inc. in connection with the recapitalization of that corporation
· Atrium Innovations Inc., a leading developer and marketer of science-based products for the health and nutrition industries, in connection with its acquisition of Multi-Care B.V., a company incorporated in the Netherlands
Financing
· Capital Desjardins inc. in connection with the issuance of $700 million of 3.797% Series H Senior Notes due 2020
· Bombardier Inc. in connection with a new European offering of €780 million aggregate principal amount of new senior notes due 2021, and debt tender offers to purchase certain series of Bombardier's outstanding notes
· The agents in the issuance by Capital Desjardins of $900 million of 5.187% Series G Senior Notes
· Bombardier Inc. in connection with a new cross-border offering of US$1.5 billion aggregate principal amount of new senior notes due 2018 and 2020, and a multijurisdictional debt tender offer to purchase US$1 billion aggregate principal amount of certain series of Bombardier's outstanding notes
· Æterna Zentaris Inc, in two successive issues of units consisting of common shares and common share purchase warrants by way of registered direct offering pursuant to a prospectus supplement in the United States, for gross proceeds of US$10 million and US$5.5 million respectively
