Peter Fozzard, a member of Sutherland's Energy and Environmental Practice Group, focuses his practice on utility finance and project development. Peter's finance experience includes senior, second lien and subordinated commercial financings; project financing; public, pollution control and industrial revenue bond issuances; structured financings of inventories; commercial paper offerings; lines of credit; letter of credit transactions; sale and lease-leasebacks; and government-guaranteed financings. He also has experience in structuring, negotiating and documenting intermediate and long-term purchases and sales of electricity (including tolling, power purchase and load serve arrangements), as well as the construction, operation, maintenance and purchase/sale of generating assets. In addition, Peter serves on Sutherland's Climate Change law team, working with clients to identify and capitalize on opportunities and respond to business challenges impacted by climate change policies and regulations. Representative Experience Peter's extensive representative experience includes: · Serving as counsel to a renewable energy developer (biomass) in project financing. · Serving as project counsel to a generation and transmission cooperative in a combined heat and power plant co-owned with an ethanol plant and in negotiation of wind energy contracts. · Serving as counsel to electric utilities and investment banks in the development of and revisions to mortgage indentures. · Serving as counsel to generation and transmission cooperatives in their finance activities including lines of credit, long-term private and governmental financings, and commercial paper programs. · Serving as counsel to a bank regarding its national telecommunications lending activities. · Serving as counsel to a generation and transmission cooperative in the negotiation of member load serving and transmission contracts. · Serving as counsel to a power marketer in its development of power projects (including development through joint venture).
