PPSV's nonprofit clients include the full spectrum of tax-exempt entities, including public charities, private foundations, trade and professional associations, lobbying organizations, and political action committees. The firm provides a wide range of legal services for these organizations.

Tax Exemption and Counseling

PPSV attorneys incorporate nonprofit organizations throughout the country and help them obtain tax exemption under both federal and state law. Thereafter, we provide ongoing counseling on tax, governance, corporate and contract law matters. We also assist our clients in forming or consolidating with nonprofit and for-profit affiliates.

Additionally, PPSV provides advice concerning many collateral areas of the law as they relate to tax-exempt organizations, including advice on intellectual property matters, antitrust issues, labor law questions, lobbying and election law matters, nonprofit postal rate issues, and matters pertaining to employment, employee benefits, and executive compensation planning.

PPSV attorneys are also experienced in preparing and monitoring private letter ruling requests to the IRS to ensure that desired transactions do not produce any adverse tax consequences.

Charitable Giving and Fundraising Programs

PPSV advises in the development, maintenance, and expansion of charitable giving programs and other fund-raising activities. We also advise clients with respect to federal and state fund-raising regulation requirements and assist clients in registering and reporting under these laws.

Audits and Tax Controversy

PPSV represents clients in controversy matters at all levels within the IRS in an effort to help them obtain the best result possible at a reasonable cost. We have had considerable success over the years in helping our nonprofit clients resolve their tax problems administratively at an early stage and avoid costly litigation with the IRS.

New Developments

The firm's exempt organizations team continually monitors new developments in the laws pertaining to tax-exempt organizations. As a service to our clients, we also offer free nonprofit training seminars and informational memoranda to keep clients abreast of changes in the law.
